AcademiaCloud
Institutional Terms of Service

Terms & Conditions of Use

Effective date: November 01, 2026 · Commercial Agreement for Educational Institutions

1 Acceptance of Terms

By registering an institution, creating operator accounts, or accessing the AcademiaCloud platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a company, school, or educational institution, you represent that you possess the legal authority to bind that entity.

2 Institutional Accounts & Tenant Partitioning

Each subscribing institution is assigned an isolated tenant workspace identifiable by a unique URL prefix (e.g., /ambition, /apex). The institution assumes full responsibility for:

  • The accuracy and lawfulness of all student, parent, course, and financial data imported into their tenant.
  • Granting and revoking staff access roles (Admin, Staff, Branch In-Charge, Teacher).
  • Maintaining compliant consent mechanisms from guardians for student enrollment.

3 Plans, Pricing & Renewals

AcademiaCloud offers Tiered Subscription Plans (Basic, Premium, Enterprise) categorized by maximum campuses, student capacity, automated SMS reminders, and advanced analytics. Subscriptions renew automatically at the end of each billing cycle unless written notice of cancellation is provided prior to the renewal date.

4 Fee Billing & FIFO Allocation Governance

The platform provides automated billing tools that operate on standard accounting rules:

  • FIFO Allocation: Payments collected from students automatically extinguish the oldest outstanding scheduled installment dues first.
  • Cheque Processing: Cheque entries remain uncredited to student balances until marked cleared by authorized administrative personnel.
  • Academic Cycles: Enrollment payment plans may not exceed academic cycle boundaries (default May cutoffs) without explicit multi-year configuration.

5 Acceptable Use Policy

Subscribers agree not to:

  • Attempt unauthorized reverse engineering, vulnerability scanning, or penetration testing against the SaaS infrastructure.
  • Inject harmful code, malicious SQL scripts, or bypass multi-tenant scoping mechanisms.
  • Use platform automated communication modules for unsolicited commercial advertising or spam.

6 Credentials & Account Security

Administrators and staff must maintain confidential credentials. AcademiaCloud implements secure password hashing and anti-back-navigation protections (Cache-Control: no-store). You agree to immediately notify platform support of any suspected credential compromises.

7 SLA & Service Availability

We target an annual service uptime of 99.9% excluding scheduled maintenance windows announced with at least 48 hours notice. Critical security patches may be deployed during off-peak hours with brief downtime.

8 Intellectual Property

AcademiaCloud retains all rights, title, and interest in and to the platform codebase, user interfaces, branding, and algorithms. The institution retains full ownership of all tenant student records, enrolled data, and proprietary course curricula.

9 Limitation of Liability

To the maximum extent permitted by applicable law, AcademiaCloud shall not be liable for indirect, incidental, or consequential damages resulting from downtime, network outages, or unauthorized third-party access beyond our reasonable control.

10 Termination & Data Exit

Upon subscription termination, institutions have 30 calendar days to export student registries, attendance histories, and transaction ledgers in CSV/PDF format before account decommission.

11 Governing Law & Legal Contact

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the platform service agreement is executed.
